1. Who this agreement is between and how you accept it
1.1 These terms and conditions (these terms) are a contract between GrantCookie, the provider of the service (“GrantCookie”, “we”, “us” and “our”), and you. GrantCookie operates the website and the application and provides the service, as section 2 defines them and section 3 describes. You can ask for our legal name and registered address at privacy@grantcookie.com.
1.2 “You” means the customer: the person or organisation that opens an account in the application or uses the service. If you do so on behalf of a company or other organisation, you confirm that you have authority to bind it to these terms, and “you” then means that organisation.
1.3 You accept these terms when you create an account, install the banner script on a website, or otherwise use the service, whichever happens first. If you do not agree to these terms, do not use the service.
1.4 These terms apply together with our data processing agreement (the DPA), which is published at grantcookie.com/dpa/ and is also available from privacy@grantcookie.com. The DPA governs customer personal data, as section 10 describes, which is mainly data about the end users who visit your websites. If these terms and the DPA differ on a point of data protection, the DPA prevails. Our privacy policy explains how we handle personal data about you and the people who use your account, and our cookie policy describes the cookies the application sets. Both are published on the website.
1.5 The service is designed for people and organisations that run websites. You must be at least 18 years old, or older if the law where you live sets a higher age for entering a binding contract, to use the service.
1.6 If you have signed a separate written agreement with GrantCookie, that agreement prevails over these terms where the two conflict.
2. Definitions
- “The application” means the pages at app.grantcookie.com, where customers register, sign in and use the service.
- “The banner” is the consent banner that the service shows to end users on your domains, and “the banner script” is the script tag you add to the pages of a domain to load it.
- “A billing period” is the period for which the fee for a paid plan is charged, as described in section 6.5.2, and “your billing date” is the first day of each billing period.
- “The consent log” is the record the service keeps of the choices end users make in the banner. Each consent record in it holds the choice for each category, the date and time of the choice, the version of the banner shown and, where you enable IAB TCF v2.3, the consent string that framework defines.
- “A customer” is a person or organisation that holds an account in the application. Under these terms, the customer is you.
- “A domain” is a website that you connect to your account in the application, identified by its web address, such as example.com.
- “An end user” is a person who visits a customer’s website where the banner runs.
- “The Free plan” is the plan offered without a fee, and “a paid plan” is any plan for which a fee is charged. “The pricing page” is the page on the website that lists the current plans, their fees and their limits.
- “The scanner” is the part of the service that crawls a domain and catalogues the cookies, trackers and pixels it finds.
- “The service” means the cookie consent management platform we provide to customers through the website and the application: the cookie scanner, the consent banner, the per-market rules, the consent log, the cookie policy generator and the integrations, including the JavaScript API, together with related support.
- “A visitor” is a person who reads the website, or opens the application without signing in.
- “The website” means the public pages at grantcookie.com.
- “A working day” is any day from Monday to Friday, including public holidays.
A pageview is defined in section 6.3.1, customer content in section 8.1 and customer personal data in section 10.1.
3. The service
3.1 The service is a cookie consent management platform. It comprises:
- the scanner, which crawls each domain you connect, catalogues the cookies, trackers and pixels it can find, sorts them into categories, and repeats the scan on the schedule your plan includes;
- the banner, which is shown to end users in your colours and copy, asks for consent per category with no pre-ticked boxes where an opt-in model applies, offers an opt-out where an opt-out model applies, and lets the end user change their choice at any time;
- per-market rules, which apply an opt-in or opt-out model to each end user according to where the end user is and the regulations you select in the application;
- the consent log, which you can export on plans that include consent log export;
- the cookie policy generator, which turns the scanner’s inventory into draft cookie policy text for you to review;
- integrations, including Google Consent Mode v2, IAB TCF v2.3, Google Tag Manager, WordPress, Shopify and Wix, and a JavaScript API that exposes consent events to your own code.
Some features and integrations are available only on certain plans, as the pricing page shows.
3.2 You put the service live on a domain by connecting it in the application and adding the banner script to the head of its pages, following our documentation. The banner script loads asynchronously. A feature that the pricing page shows as part of a paid plan is available to you only while your account is on that plan.
3.3 The integrations in section 3.1 connect the service to platforms operated by other companies under their own terms. We do not control those platforms. How Google Consent Mode behaves, including how Google models conversions when an end user declines cookies, is determined by Google. If a platform changes and an integration stops working, we will make reasonable efforts to restore it.
3.4 On paid plans, we will import consent records exported as a CSV file from the platform you used before GrantCookie. Contact support@grantcookie.com and we will tell you how to send the file to us securely. We import the records as supplied. You are responsible for their accuracy and for your right to transfer them to us.
3.5 The banner can apply an end user’s choice only to tags and scripts that are installed as our documentation describes. Tags installed in any other way may set cookies regardless of what the end user chose.
4. What the service is not
4.1 The service is not legal advice. Nothing on the website, in the application, in our documentation or regulation pages, in the default banner text and categories, or in the output of the cookie policy generator is legal advice. We give you tooling and defaults. Whether they satisfy the law that applies to you depends on your business, your end users, the markets you operate in and how you configure and use the service.
4.2 Compliance with privacy and data protection law is your responsibility. You decide which regulations apply to each website and select them in the application, how the banner behaves on a first visit, which category each cookie belongs in, what the banner says in each language, and whether the text the cookie policy generator produces is accurate before you publish it. The banner collects consent and the consent log records it, but you still need a cookie policy and a privacy notice that describe what you collect and why, and you remain responsible for what your website does with the consent it receives. We recommend that you take advice from a lawyer on your specific obligations.
4.3 The scanner reports what it can reach on the pages it crawls at the time of the scan. It may not find cookies set on pages behind a login, set by scripts that load only in certain conditions, or added to your website after the last scan. The inventory is never more current than the last scan, and a scan is not a guarantee that every cookie on your website has been found.
5. Accounts and security
5.1 You need an account in the application to use the service. You must give accurate information when you register and keep it up to date, including a working email address we can use to contact you about your account.
5.2 You are responsible for keeping your login details confidential and for everything that happens under your account, whether or not you authorised it, until you tell us the account has been compromised. If you think someone else has used your account, change your password and email support@grantcookie.com straight away. If you give other people access to your account, for example colleagues or clients, you are responsible for what they do in it.
5.3 The banner script for each domain is tied to your account. Install it only on domains you have connected in the application and have the right to control. We may ask you to verify that you control a domain, and we may disconnect a domain if we have reason to believe you do not.
6. Plans, trials and billing
6.1 Plans
6.1.1 The service is offered on the Free plan and on paid plans. Every plan includes the scanner, the banner and the consent log. Plans differ in the number of pageviews a month, the number of domains, the frequency of scans and the further features they include. The current plans, fees and limits are on the pricing page.
6.1.2 The Free plan has no fee, and on the Free plan the banner carries a GrantCookie mark. The limits and features of the Free plan, and the fees, limits and features of each paid plan, are those shown on the pricing page.
6.2 Free trial
6.2.1 Where we offer a free trial of a paid plan, the trial lasts 14 days from the day it starts. You do not need to give payment card details to start it, and you can cancel it at any time.
6.2.2 We do not charge you for a trial. At the end of the trial, the paid plan continues only if you have added a payment method and confirmed that you want to continue, and we then charge you from the day after the trial ends. If you do not continue, your account continues on the Free plan, with the Free plan’s limits and features, including the GrantCookie mark on the banner. The end of a trial does not delete your configuration or your consent log.
6.2.3 A trial is available once per organisation. We may end or refuse a trial where we believe it is being used to avoid paying for the service, for example by opening several accounts.
6.3 Pageviews and domains
6.3.1 Each plan includes an allowance of pageviews a month, shown on the pricing page. A pageview is a load of a page that runs the banner script on one of your connected domains. Pageviews on all the domains connected to your account are counted by the service and count towards your plan’s allowance. If you ask at support@grantcookie.com, we will tell you how many pageviews have been counted on your account.
6.3.2 Your plan’s domain limit is the number of domains you can have connected at the same time. If the number of domains connected to your account exceeds your plan’s domain limit, we will contact you at the email address on your account to agree a plan that fits. If we cannot agree a plan with you within a reasonable time, we may, after giving you notice, disconnect the domains above the limit, starting with the most recently connected, or take the steps in section 14.
6.4 When you exceed your plan’s limits
6.4.1 If pageviews on your account exceed your plan’s monthly allowance, we will contact you at the email address on your account to discuss moving to a plan that fits your traffic. We do not charge automatic overage fees, and we will not charge you for the excess without agreeing it with you first.
6.4.2 If your usage stays above your plan’s allowance and we cannot agree a suitable plan with you within a reasonable time, we may, after giving you notice, limit the service on your account to your plan’s allowance or take the steps in section 14.
6.5 Fees, tax and payment
6.5.1 Fees for paid plans are stated on the pricing page in US dollars and exclude local tax. Where we are required to charge sales tax, value added tax or a similar tax, we add it to your invoice at the applicable rate. You are responsible for any other taxes that apply to your purchase.
6.5.2 Fees for paid plans are payable in advance for each billing period. We tell you the length of the billing period before you choose a paid plan. Your first billing period starts on the day the paid plan starts or, if you continue after a trial, on the day after the trial ends. Your plan renews automatically at the end of each billing period until you cancel it or we end it under these terms. By adding a payment method you authorise us to charge it for your plan’s fee, plus any tax, on each billing date.
6.5.3 If a payment fails, we will tell you by email and may try again. If the fee remains unpaid 14 days after the billing date, we may move your account to the Free plan or suspend its paid features until the outstanding amount is paid. Consent records and configuration are kept during a suspension.
6.5.4 We may change the fees for a plan. We will give you at least 30 days’ notice by email, and the new fee applies from your first billing date after the notice period ends. If you do not accept the new fee, cancel your plan before that date.
6.6 Changing plans
You can change plan in the application, if it offers that option, or by emailing support@grantcookie.com. A move to a higher plan takes effect when you confirm it. Before you confirm, we tell you what you will be charged for the rest of your current billing period and from your next billing date. A move to a lower plan or to the Free plan takes effect at the end of your current billing period. If the new plan allows fewer domains than you have connected, you must disconnect the extra domains before the change can take effect. Features not included in the new plan stop when the change takes effect.
6.7 Cancellation and refunds
6.7.1 You can cancel a paid plan at any time, in the application if it offers that option, or by emailing support@grantcookie.com. Cancellation takes effect at the end of your current billing period, except where section 12.1 or 15.2 lets you cancel with immediate effect. You keep the paid plan’s features until cancellation takes effect, and your account then continues on the Free plan unless you close it. You can close your account at any time by emailing support@grantcookie.com from the email address on your account or, where section 7.4 or 14.2 of the DPA gives you that right, by notice to privacy@grantcookie.com. Section 14.5 describes what happens to your customer content when your account closes.
6.7.2 We do not refund fees for the part of a billing period that remains after you cancel, or for pageviews you did not use, except where section 12.1, 14.4 or 15.2 of these terms or section 7.4 or 14.2 of the DPA applies, or where the law that applies to you gives you a right to cancel or to a refund that cannot be excluded. Each of those refunds covers the fees you have paid for the part of the billing period after the cancellation or closure takes effect.
7. Acceptable use
7.1 Use the service only for its intended purpose: to collect and record consent for cookies and similar technologies on websites you control or are authorised to manage.
7.2 You must not:
- use the service in a way that breaks any law that applies to you or to your end users;
- configure the banner so that it misleads end users, for example by hiding or disguising the option to refuse, pre-selecting categories, describing a category inaccurately, or using consent given in the banner for a purpose the banner did not describe;
- install the banner script on a domain you have not connected in the application, or on a website you have no right to control;
- open more than one Free plan account, interfere with the counting of pageviews, or otherwise act to avoid the limits of your plan;
- remove, hide or alter the GrantCookie mark on the banner while your account is on the Free plan;
- copy, modify, reverse engineer or decompile the banner script, the application or any other part of the service, except where the law allows this despite this restriction;
- resell or offer the service to others as your own product, except that you may use it on websites you manage for clients, as described in section 8.4;
- scan a domain you do not control without the owner’s permission, or test the security of the service without our written permission;
- use the service to distribute malware or to transmit content that is unlawful, defamatory or infringing;
- place a load on the service that is unreasonable for your plan, or access the service by automated means other than the JavaScript API and the integrations we document.
7.3 If you become aware of a breach of this section under your account, tell us at support@grantcookie.com.
8. Customer content and your websites
8.1 “Customer content” means everything you provide to the service or that the service produces for you: the domains you connect, your banner colours, fonts, copy and translations, your configuration, the cookie inventory produced by the scanner, the consent log, any consent records you ask us to import, and any text produced by the cookie policy generator.
8.2 You own your customer content. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, display and transmit it to the extent needed to provide the service to you, to keep it secure and to comply with the law. This licence ends when your customer content is deleted under section 14.5, except for copies we must keep by law.
8.3 You are responsible for the websites on which you install the banner script: for having the right to install it and to collect consent there; for what the websites and their tags do with the consent they receive; for installing the banner script and your tags as our documentation describes; for publishing an accurate cookie policy and privacy notice on each website; for checking the scanner’s inventory and categories; and for the accuracy of your banner copy, translations and any imported consent records.
8.4 If you use the service on websites that belong to your clients, you must have each client’s authority to do so, and you are responsible to us for the use of the service on those websites as if they were your own. Your clients are not parties to these terms unless they have their own accounts.
8.5 You will compensate us for any loss, damage, cost or expense, including reasonable legal fees, that we incur because of a claim by a third party arising from your websites, your customer content, or your breach of section 7 or this section 8. We will tell you promptly about any such claim, give you reasonable control of its defence, and not settle it without your consent, which you must not withhold unreasonably.
8.6 We do not monitor customer content, but we may remove or disable customer content, or disconnect a domain, if we reasonably believe it breaches these terms or the law. Where practical we will tell you first.
9. Intellectual property
9.1 GrantCookie owns, or has the right to use, all intellectual property in the service, including the banner script, the application, the website, the documentation, the design of the banner and its default text, the scanner and its categorisation, and the GrantCookie name and mark. These terms do not transfer any of it to you.
9.2 For as long as your account is open and you comply with these terms, we grant you a non-exclusive, non-transferable licence to use the application and to install and run the banner script on the domains connected to your account, for the purpose of collecting and recording consent on those domains. The text the cookie policy generator produces for you is customer content under section 8.1, and you may use, edit and publish it.
9.3 If you send us suggestions or feedback about the service, we may use them without any obligation to you.
9.4 We may collect and use data about how you and the people who use your account use the service, in a form that does not identify you, your websites or any individual, to operate, secure and improve the service and to report on its use in aggregate. This section does not apply to customer personal data, which we process only as the DPA allows.
10. Data protection
10.1 We process two kinds of personal data in connection with the service.
- Our own data: personal data about you and the people who use your account, such as the email address you register with, records of your sign-ins and your billing details, and personal data about visitors, people who contact us and newsletter subscribers. We are the controller of this data, and our privacy policy describes it.
- Customer personal data: the personal data we process on your behalf in providing the service, namely the consent records in your consent log, including any you ask us to import; the technical data an end user’s browser sends when the banner loads; and any personal data that appears in your scan results. You decide why and how this data is processed, and we process it on your behalf and on your instructions under the DPA, as your processor or, where the law that applies uses these terms, your service provider or data processor.
10.2 The DPA forms part of these terms and applies to customer personal data. It is published at grantcookie.com/dpa/. Requests for a copy of the DPA, a countersigned copy of it, the current list of sub-processors or a security review go to privacy@grantcookie.com.
10.3 You are responsible for having a lawful basis for the cookies and trackers your websites use and for collecting end users’ choices through the banner; for telling end users in your own privacy notice and cookie policy that a consent record is kept and how it is used; for selecting the regulations that apply to each website; and for responding to end users who exercise their rights under data protection law, with our assistance under the DPA where you need it.
10.4 We keep the consent log for your domains while your account is open, unless you instruct us under the DPA to delete records earlier. When your account closes, section 14.5 applies.
11. Availability and support
11.1 We aim to make the service available at all times, but we do not guarantee that it will be uninterrupted or error-free. Any uptime figure published on the website is not a promise of future availability.
11.2 We may suspend the service for maintenance. Where planned maintenance is likely to affect the banner or the application, we will make reasonable efforts to schedule it at a time of low use and to give notice in the application or by email.
11.3 Support is available on all plans by email at support@grantcookie.com. We reply within one working day, although resolving a request may take longer. On plans that include priority support, we handle your requests ahead of requests from other plans. Support covers the use of the service and its integrations. It does not cover advice on the law or the development of your website.
11.4 We may release features marked as beta, preview or similar. These are provided for evaluation, may change or be withdrawn without notice, and are excluded from the warranty in section 12.1.
12. Warranties and disclaimers
12.1 We warrant that we will provide the service with reasonable skill and care and that it will perform materially as described in our documentation. Statements on the website are not part of this warranty, and sections 4 and 12.3 apply to it. If the service does not perform as warranted, tell us at support@grantcookie.com and we will use reasonable efforts to correct the problem. If we cannot correct it within 30 days of your notice, you may cancel your paid plan with immediate effect, and we will refund the fees you have paid for the part of the billing period after cancellation. This is your only remedy for breach of this warranty.
12.2 Except as stated in section 12.1, the service is provided as it is and as it is available. To the extent the law allows, we exclude all other warranties, conditions and terms, whether express or implied, including any implied term about satisfactory quality, fitness for a particular purpose or non-infringement.
12.3 In particular, we do not warrant that use of the service will make you or your websites compliant with any law; that the scanner will find every cookie on your websites or categorise each one correctly; that the default banner text, categories or regulation settings suit your circumstances; that the service will be uninterrupted, secure or free of errors; or that platforms operated by other companies, including those named in section 3.1, will continue to work with the service or produce accurate data.
12.4 Nothing in these terms excludes or limits a warranty or right that cannot be excluded or limited under the law that applies to you.
13. Limitation of liability
13.1 Nothing in these terms limits or excludes our liability or yours for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
13.2 Subject to section 13.1, we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for: loss of profit, revenue, business, contracts or anticipated savings; loss of or damage to data, except to the extent it results from our breach of the DPA; loss of goodwill or reputation; fines, penalties or other sanctions imposed on you by a regulator or court, or the cost of responding to a regulator; claims made against you by end users, your clients or any other third party in connection with your compliance with the law; or any indirect or consequential loss.
13.3 Subject to sections 13.1 and 13.2, our total liability to you under or in connection with these terms, the DPA and the service, taken together, for all claims arising in any period of twelve months, is limited to the total fees you paid us in the twelve months before the event giving rise to the first of those claims. The fees reflect this allocation of risk, and the service is priced on the basis that you, not GrantCookie, are responsible for your compliance with the law.
13.4 Where the standard contractual clauses or the UK Addendum incorporated in the DPA apply between us, sections 13.2 and 13.3 apply to liability under them only so far as they allow. Nothing in this section limits liability to a data subject or a supervisory authority, as section 13 of the DPA sets out.
14. Suspension and termination
14.1 These terms apply from the moment you accept them until your account is closed by you or by us.
14.2 We may suspend your access to the application, stop serving the banner on one or more of your domains, or disconnect a domain, if you are in breach of section 7 or 8; if your account or a connected domain presents a security risk to the service, other customers or end users; if a fee is unpaid as described in section 6.5.3; if your usage exceeds your plan and section 6.3.2 or 6.4.2 applies; or if we are required to by law or by a court or regulator. Where practical we will tell you first and give you a chance to fix the problem, and we will lift the suspension once the cause is resolved.
14.3 We may close your account:
- if you breach these terms and, where the breach can be fixed, do not fix it within 14 days of our notice;
- at once, if your breach is serious or cannot be fixed, or if we are required to by law;
- if your Free plan account has had no sign-in and no connected domain for twelve months, after giving you at least 30 days’ notice by email;
- for any other reason, on at least 30 days’ notice by email.
14.4 If we close your account under the last point of section 14.3, or because we have stopped providing the service, we will refund the fees you have paid for the part of the billing period after closure.
14.5 When your account closes, your right to use the service ends and we stop serving the banner on your domains, so you must remove the banner script from your websites. For 30 days after closure, whichever plan you were on, we will give you a copy of your consent log and your configuration in a common machine-readable format if you ask. Ask at privacy@grantcookie.com for the consent log, as the DPA provides, and at support@grantcookie.com for your configuration. After those 30 days, we delete your customer content without undue delay, except anything the law requires us to keep. Copies in backups are removed as those backups expire. For customer personal data, section 11 of the DPA applies. Fees you owe at the date of closure remain payable.
14.6 Sections 4, 6.5, 6.7.2, 8.2 (for copies we must keep by law), 8.5, 9, 10 (for as long as the DPA continues under its section 14.1), 12, 13, 14.5, 16 and 17 continue to apply after your account closes.
15. Changes to the service and to these terms
15.1 We may add, change or withdraw features and change the plans on offer. Changes that add to or improve the service may be made without notice.
15.2 If we withdraw or materially reduce a feature included in the paid plan you are on, we will give you at least 30 days’ notice by email. If the change materially reduces the value of the plan to you, you may cancel your paid plan with immediate effect before the change takes effect, and we will refund the fees you have paid for the part of the billing period after cancellation.
15.3 We may change these terms. If a change is material, we will give you at least 30 days’ notice by email to the address on your account, or by a notice in the application, before it takes effect. Changes required by law, or that only correct errors or clarify wording, may take effect sooner. If you continue to use the service after a change takes effect, you accept the changed terms. If you do not accept a change, cancel your plan or close your account before it takes effect. The current version of these terms is always published on the website, with the “Last reviewed” date at the top, which is updated every time we review these terms. Earlier versions are available on request from support@grantcookie.com.
16. Governing law and disputes
16.1 These terms, and any dispute or claim arising out of or in connection with them or the service, are governed by the law of the jurisdiction in which GrantCookie is established.
16.2 The courts of that jurisdiction have exclusive jurisdiction to settle any such dispute or claim. If you are a consumer, this section does not take away any right you have under the law of the country where you live to bring a claim there, or any protection that law gives you that cannot be excluded by agreement.
16.3 Before either of us starts court proceedings, we each agree to try to resolve the dispute by discussion. Send a description of the dispute to support@grantcookie.com. We reply within one working day and send you our response to the substance of the dispute within 30 days. If the dispute is not resolved within 60 days of that first notice, either of us may start proceedings. Nothing in this section prevents either of us from seeking urgent relief from a court.
17. General
17.1 These terms, the privacy policy, the DPA and any separate written agreement under section 1.6 are the entire agreement between you and us about the service and replace any earlier discussions or documents. Each of us confirms that we have not relied on any statement not written in them. Nothing in this section limits liability for fraud.
17.2 If any part of these terms is found to be invalid or unenforceable, the rest continues to apply, and the invalid part is replaced by a valid provision that comes as close as possible to its intent. If we do not enforce a right under these terms, we may still enforce it later. A waiver is effective only if it is in writing.
17.3 You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours to a company that acquires our business or the service, and we will tell you before the transfer takes effect. We may use subcontractors to provide the service and remain responsible for their work. For customer personal data, section 7 of the DPA governs our use of sub-processors.
17.4 Neither of us is liable for failing to perform an obligation, other than an obligation to pay, because of an event outside our reasonable control, including failure of the internet or of a platform operated by another company, provided the party affected tells the other and makes reasonable efforts to resume performance.
17.5 These terms do not create a partnership, joint venture, agency or employment relationship between you and us. Nobody other than you and GrantCookie has any right to enforce them, except for the rights that the DPA, including the standard contractual clauses where they apply, gives to data subjects.
17.6 Notices to you will be sent to the email address on your account or shown in the application. Notices to us under these terms must be sent to support@grantcookie.com. Notices under the DPA, and any other notice about data protection, must be sent to privacy@grantcookie.com. A notice sent by email is treated as received on the next working day after it is sent.
17.7 These terms are written in English. If they are translated, the English version prevails.
17.8 Each of us will keep confidential any information the other gives it in connection with the service that is not public and that is marked as confidential or would reasonably be understood to be confidential, including audit findings under the DPA and the content of security reviews. Each of us will use that information only to perform these terms and will share it only with people who need it for that purpose and are bound to keep it confidential. This does not apply to information that becomes public other than through a breach of this section, that the recipient already had or develops independently, or that the law, a court or a regulator requires the recipient to disclose.
